Terms of Service
Effective June 20, 2026
1Acceptance and eligibility
These Terms are a binding contract. You accept by creating an account, placing an order, or using the Service.
1.1Age And Capacity
You must be at least 18. The Service is not directed to children under 18; we do not knowingly collect information from children under 13. You confirm legal capacity under your state's laws.
1.2Geographic Scope
The Service is U.S.-only. Availability varies by state. The eligible-state list at https://sipra.com/states is part of these Terms by reference.
If you travel outside an eligible state, your physician may pause prescriptions until you return.
1.3For Yourself Only
Use the Service only for yourself. Do not obtain a prescription for another person, except as a documented legal guardian where the patient is enrolled directly.
1.4Truthful Information
Give accurate, complete, current information at intake and during care, and update if it changes. False or incomplete health information can lead to inappropriate treatment and harm you.
2The Service
2.1What We Do
Sipra is a technology and marketing platform. We do not practice medicine, dispense medications, or sell insurance. We coordinate care by routing intake to physicians at the affiliated medical practice, routing prescriptions to Healthcare Prosoft, LLC (operating the VSDH One Platform), Epiq Scripts LLC, Valiant Compounding Pharmacy, and Perfect RX, processing payments, and supporting you with messaging, scheduling, and education.
2.2Care Modalities
- Asynchronous intake review. You complete a questionnaire a physician reviews.
- Synchronous consult. When clinically indicated, a physician conducts a live phone or video visit.
- Ongoing messaging. Secure messaging with your care team during treatment.
- 24/7 medical support through the patient portal.
2.3Compounded Medications
Some prescriptions are filled at 503A compounding pharmacies. Compounded medications are not FDA-approved for safety or effectiveness. They may be prescribed when commercially available FDA-approved drugs do not meet your specific needs.
Sipra is not affiliated with Eli Lilly, Novo Nordisk, or any other branded GLP-1 manufacturer, and does not market its compounded medications as "generic Ozempic," "generic Wegovy," "generic Mounjaro," "generic Zepbound," or any other Lilly or Novo Nordisk product. Compounded medications are independent formulations prepared by a state-licensed 503A pharmacy on a patient-specific prescription; they are not equivalents to FDA-approved branded products and are not "generic" in the FDA sense.

2.4We May Change The Service
We can add, change, or remove parts of the Service any time, including individual treatments. If a treatment becomes unavailable due to clinical-supply or regulatory change, we refund any unshipped portion pro-rata under the Refund and Cancellation Policy. Material changes to clinically significant features are announced in the patient portal at least 30 days in advance, except where shorter notice is required for safety, regulatory, or supply reasons.
2.5What Sipra Is Not
- Not a hospital, urgent-care center, or in-person clinic; we do not provide in-person care.
- Not an insurer, health plan, or TPA. Cash-pay only, see Section 4.3.
- Not a pharmacy. We coordinate with licensed 503A pharmacies that fill prescriptions from the physician network.
- Not a substitute for primary care. Keep seeing your primary care provider and tell them about treatment through the Service.
- Not a clinical-research sponsor. The Service is not a clinical trial; treatment is individualized standard-of-care prescribing.
- Not affiliated with Eli Lilly, Novo Nordisk, or any branded GLP-1 manufacturer; we do not market any product as a "generic" of a Lilly or Novo Nordisk drug.
2.6How We Describe Results
We follow the FTC Endorsement Guides and FDA drug-promotion rules. We cite averages from peer-reviewed clinical trial data with a clear "Individual results vary" disclosure. We do not show before-and-after photos, do not promise specific weight-loss numbers, and do not call compounded GLP-1 products "generic" versions of Ozempic, Wegovy, Mounjaro, or Zepbound.
2.7Telehealth Consent: Laboratory Services
The following telehealth consent applies when you order laboratory testing, and you provide it by agreeing to these Terms at lab checkout:
I understand that Telehealth is a mode of delivering health care services via communication technologies (e.g., internet or cellphone) to facilitate diagnosis, consultation, treatment, education, care management, and self-management of a patient’s health care.
By acknowledging my consent below, I understand and agree to the following:
I understand that Junction and affiliate Openloop Healthcare Partners, PC offer Telehealth consultations, which are conducted through videoconferencing, telephonic, and asynchronous technology and my Telehealth provider will not be present in the room with me.
I understand there are potential risks to the use of Telehealth technology, including but not limited to, interruptions, delays, unauthorized access, and or other technical difficulties. I understand that either my Telehealth provider or I can discontinue the Telehealth appointment if the technical connections are not adequate for my visit.
I understand that I could seek an in-office visit rather than obtain care from a Telehealth provider, and I am choosing to participate in a Telehealth consultation with Junction, an affiliate of Openloop Healthcare Partners, PC, Openloop Healthcare Partners, PC, Openloop Healthcare Partners California, PC, Openloop Healthcare Partners Colorado, PC, Openloop Healthcare Partners New Jersey, PC, Openloop Healthcare Partners Wisconsin SC, Reliant.MD Medical Associates, PLLC, Reliant.MD Medical Associates California, PC, Reliant.MD Medical Associates Colorado, PC, Reliant.MD Medical Associates New Jersey, PC, Reliant.MD Medical Associates Wisconsin, SC, MECNB Physician Services, PC, MECNB Physician Services California, PC, MECNB Physician Services Colorado, PC, MECNB Physician Services New Jersey, PC, and MECNB Physician Services, SC.
To protect the confidentiality of my health information, I agree to undertake my Telehealth consultation in a private location, and I understand that my Telehealth provider will similarly be in a private location.
I understand that I am responsible for payment of any amounts due and owing resulting from my Telehealth visit.
In an emergent situation, I understand that the responsibility of my Telehealth provider may be to direct me to emergency medical services, such as an emergency room.
By acknowledging below, I certify:
- that I have read this form and/or had it explained to me
- that I understand the risks and benefits of a Telehealth appointment
- That I have been given the opportunity to ask questions and that such questions have been answered to my satisfaction.
3Accounts and security
3.1Creating An Account
Create an account using your full legal name, date of birth, email, residential address, and phone. Your account is personal, do not share credentials.
3.2Identity Verification
We may verify your identity using a government ID and selfie or live photo. We do not extract or store biometric identifiers. ID images are retained only as long as needed for clinical eligibility and fraud control.
3.3Account Security
You are responsible for activity under your account. Email [email protected] immediately if you suspect unauthorized access. We may suspend or close accounts showing fraud or violation of these Terms.
3.4Electronic Signatures And Consent (E-Sign Act, 15 USC §7001)
By using the Service, you consent to receive contracts, notices, and disclosures electronically; your electronic signature has the same legal effect as a handwritten one. Withdrawing consent (closing your account) ends your access.
4Your clinical relationship is with our affiliated medical practice, not with Sipra
Sipra does not provide medical care. Your physician-patient relationship is with the physician at the affiliated medical practice assigned to your care. Physicians use independent clinical judgment in every decision, to prescribe, change dose, or stop treatment.
The affiliated medical practice is named in our HIPAA Notice of Privacy Practices. Patient-facing account, billing, scheduling, and care-coordination communications route through Sipra at [email protected].
4.1Mso-Pc Structure
Sipra is the technology/marketing entity (MSO). The affiliated medical practice is the prescribing entity (PC). Sipra does not direct any physician's clinical decisions.
4.2HIPAA Roles
The affiliated medical practice is your healthcare provider and a HIPAA Covered Entity. Sipra LLC supports it as Business Associate. The practice's Notice of Privacy Practices is at https://sipra.com/hipaa-notice or on request via [email protected]. PHI use/disclosure is described there and in our https://sipra.com/privacy.
4.3Anti-Kickback And Stark, Cash-Pay Only
Sipra and the affiliated medical practice do not bill, accept, or coordinate with Medicare, Medicaid, TRICARE, or any federal or state healthcare program. Cash-pay only. Neither party pays the other based on volume or value of prescriptions. Intended to comply with the federal Anti-Kickback Statute (42 USC §1320a-7b(b)), Stark Law (42 USC §1395nn), and Eliminating Kickbacks in Recovery Act (18 USC §220).
4.4Open Payments Database Notice (Sunshine Act, 42 USC §1320A-7H)
Federal law requires drug/device manufacturers to publicly report payments and gifts to physicians. Payments to your physician may be available at openpaymentsdata.cms.gov.
4.5Pharmacy Of Your Choice
By default, your physician routes your prescription to a listed Sipra partner. You can request any licensed pharmacy; some may not stock compounded products, and your physician will discuss options.
Sipra and the affiliated medical practice earn no extra fees for steering prescriptions. Partners are selected on accreditation (PCAB or NABP), state licensure, fulfillment performance, and cost, not prescriber compensation.
4.6Multi-Pharmacy And Prescription Transfer
If a pharmacy faces a back order, supply disruption, or compliance issue, we may transfer your prescription to another listed partner. We notify you in advance and identify the new pharmacy. You may decline by emailing [email protected] before processing; we'll work with you and your physician on an alternative, which may include pausing until your original pharmacy returns or you select a different licensed pharmacy. 4.7No Emergency Care
The Service is not for emergencies. Medical emergency: call 911. Mental health crisis: call or text 988 (988 Suicide & Crisis Lifeline). The Service is not a substitute for in-person, urgent, or hospital care.
4.8No Fee-Splitting; No Payments Based On Prescriptions
No physician or Sipra employee is paid based on whether, what, how many, or what type of prescriptions are issued. Physician payments are based on time spent on intake review, consults, and follow-up.
5Safety acknowledgments
You acknowledge:
- All prescription medications carry risks (side effects, drug interactions). Your physician discusses treatment risks; the ISI lists treatment-specific information.
- Telehealth has limits. A physician may decide telehealth is not appropriate and may decline to prescribe or refer you to in-person care.
- Individual results vary. Clinical outcome data is population-level, not a guarantee for you.
- Pregnancy. Some treatments (including GLP-1 medications) are contraindicated in pregnancy and breastfeeding. Tell your physician immediately if pregnant or planning.
- Adverse events. Report to FDA MedWatch at 1-800-FDA-1088 or www.fda.gov/medwatch and to [email protected].
- Other clinicians. Tell every clinician treating you about every medication, including from the Service.
- Storage. Follow shipping storage instructions. Do not use medication frozen, exposed to extreme heat, or past expiration.
- Disposal. Dispose of unused medication and used needles/pens per FDA guidance and state law. Many pharmacies offer take-back programs.
Treatment-specific safety information is in the https://sipra.com/safety. The ISI updates when we add a treatment, FDA labeling changes, or partner formulations change.
6Subscriptions, billing, and renewals
6.1How Subscriptions Work
At launch, Sipra offers two subscription tiers: a 1-Month plan at $300 per month and a 3-Month (Quarterly) plan at $250 per month, each recurring until paused or canceled. Each tier includes physician evaluation, prescription fulfillment when approved, and ongoing follow-up. Pricing varies by treatment category. Current pricing is published at https://sipra.com/pricing.
At checkout, total cost, billing cadence, renewal price, and cancellation method are disclosed above the pay button in plain language. We follow the FTC Negative Option Rule (16 CFR Part 425), Restore Online Shoppers' Confidence Act (15 USC §§8401-05), and applicable state auto-renewal laws (CA AB 2863, NY GBL §527-a, MA 940 CMR, OR HB 4032).
6.2No Charge Until Physician Approval
Sipra captures your card at intake but does not charge it until your clinician approves and prescribes. You may cancel without charge any time before clinician approval.
6.3Auto-Renewal
Each refill is subject to physician review and approval. Approximately 21 days before the end of your current paid period, we open a recurring check-in in your portal. You complete a brief check-in; your physician reviews your status and may approve the next refill, adjust your dose, or decline continuation. Your card is charged only when your physician approves the next refill. If your physician declines, you owe nothing for that cycle. If you have not completed your check-in by the deadline, your physician may review your existing record and either continue treatment at your prior dose, pause your subscription, or discontinue treatment. California, New York, Connecticut, and Colorado residents receive an annual subscription renewal notice consistent with applicable state law.
6.4Multi-Month Plans And Shipping Cadence
The 3-Month plan is a single up-front payment for the quarter. Medication ships in plan-sized tranches: 1-Month plans ship monthly; 3-Month plans ship the full quarter’s medication in one shipment after physician approval.
6.5Pre-Renewal Cutoff
Cancel any time through your patient portal. To prevent your next refill from shipping, please cancel at least 13 calendar days before your physician’s next review (which begins approximately 10 days before the end of your current paid period). The 3 calendar days before each physician review are the cancel-lock window. Cancellations submitted during this window are still honored if your physician has not yet approved. Once approved and your card is charged, that shipment cannot be cancelled, but cancellation of all future cycles takes effect immediately.
6.6Cancel Anytime, 4-Channel Parity
Cancel through:
- patient portal (one click);
- any Sipra mobile app;
- email [email protected]; or
- the patient portal, or email [email protected].
No phone, menus, or retention call. Refund logic: https://sipra.com/refunds.
6.7Pause-And-Resume
You can pause an active subscription up to 90 days and resume without re-doing intake. Paused subscriptions do not auto-renew.
6.8Billing Descriptor
Charges appear as SIPRA*HEALTH.
6.9Efta / Reg E Authorization (15 USC §1693E; 12 CFR §1005.10)
If paying by ACH or other EFT, you authorize Sipra to initiate recurring debits in the amount and on the cadence of your subscription. Revoke any time by canceling; revocation applies to the next billing cycle.
6.10Chargeback Rights
Nothing here waives your rights under the Truth in Lending Act (15 USC §1666), Electronic Fund Transfer Act, or your card network's chargeback rules. If a charge is in error, contact [email protected] first so we can resolve quickly.
6.11Price Changes
We may change prices with 30+ days' email notice. To reject a new price, cancel before the next renewal.
6.12Hsa And Fsa Cards
You can pay with HSA or FSA cards if your plan allows. Sipra does not verify HSA/FSA eligibility. You are responsible for rejected or recovered payments.
6.13No Anti-Chargeback Waiver
Some platforms make patients waive credit-card chargeback rights. Sipra does not. You keep all chargeback rights under the Truth in Lending Act, Electronic Fund Transfer Act, and your card network's rules. Please contact [email protected] first so we can resolve without involving your bank. Sipra may suspend or terminate service for any customer who initiates a chargeback without first contacting [email protected].
6.14What Is Included
Each subscription includes:
- clinical evaluation by a physician licensed in your state;
- up to 4 follow-up messages per month;
- medication shipped on the cadence in your treatment plan, when approved;
- 24/7 medical support line; and
- standard shipping in cooled packaging where required.
Lab work, additional consultations beyond included follow-ups, and add-on therapies are billed separately at Pricing-page rates.
7Refunds and cancellations
Refund eligibility, restocking rules, and cancellation timing are in the https://sipra.com/refunds (Refund Policy), part of these Terms. The Refund Policy controls any conflict with this Section.
In short:
- If your physician declines treatment, you owe nothing.
- If you cancel before the next billing cycle, we refund any unshipped portion promptly under the Refund Policy.
- Once shipped, that cycle's medication is non-refundable, except as required by law or stated in the Refund Policy.
8Communications and SMS consent
8.1Electronic Communications
By using the Service, you agree to receive communications electronically, email, in-app, push, and SMS. Electronic communications satisfy any legal "in writing" requirement.
8.2TCPA SMS Consent (47 USC §227)
Sipra uses two separate SMS types with separate consent. You can consent to one and decline the other.
(a) Transactional / service SMS. Account, care, and subscription messages, appointment reminders, intake follow-ups, prescription/shipping updates, refill notices, renewal/billing notices, and support replies. By providing your number at signup and confirming service SMS, you consent under the TCPA for Sipra and our service providers to send these messages, including via autodialer or prerecorded voice, at the number provided. Some are required for safe care and continuous fulfillment; if you opt out of all SMS, we continue essential clinical and billing information by email or another channel.
(b) Marketing SMS, separate, opt-in only. Promotional offers, new-product announcements, and educational content unrelated to active care. Consent is via a separate unchecked checkbox at signup, distinct from transactional consent. Service use without marketing consent is allowed; marketing consent is never a condition of any purchase, evaluation, or prescription.
Reply STOP to opt out at that number. Reply HELP for help. After marketing opt-out, transactional messages in (a) may still be sent. Frequency: Up to 8 messages per month. Message and data rates may apply.
Program: Sipra account and promotional alerts. For help, reply HELP or contact [email protected].
8.3Privacy Of Communications
Use of communications information is described in our Privacy Policy and HIPAA Notice of Privacy Practices. Marketing channels never carry PHI. Clinical messages stay in the patient portal with transport encryption (TLS 1.2+) and at-rest encryption (AES-256).
8.4Recording
We do not record asynchronous intakes. If a live consult is recorded for clinical or quality purposes, your physician will tell you and request consent first. You can decline without affecting your care.
8.5Email Deliverability And Spam Folders
Important emails (renewal reminders, cancellation confirmations, refund notices) come from sipra.com domains. Add [email protected] to your contacts. We are not responsible for emails marked as spam or blocked by your provider; we are responsible for sending on time to the address on file.
9AI features and automated systems
We use software and ML models for intake parsing, clinical triage, customer-service routing, fraud detection, and billing. AI makes no clinical decisions. Every prescribing, dosing, and discontinuation decision is made by a human physician.
We do not train third-party LLMs on your PHI. AI vendors process your data under contracts that prohibit training on Sipra patient data and include a BAA where HIPAA requires.
9.1AI Uses And Human Oversight
- Intake parsing. AI organizes answers into a summary; the physician reviews the underlying answers, not just the summary.
- Triage. AI flags possible urgency, contraindication, or red-flag symptoms; a clinician decides.
- Customer-service routing. AI routes your message to the right team and may suggest a draft a human reviews/edits before sending.
- Fraud detection. AI flags signs of identity fraud, payment fraud, or medication diversion. Humans act on flags.
9.2What AI Never Does
AI does not:
- decide whether to prescribe;
- decide a dose;
- change a treatment plan;
- decide Service eligibility; or
- respond to clinical questions without a human clinician's review.
9.3Your Right To Human Review
Request human review of any decision affecting your care or account by emailing [email protected]. We route requests to a human promptly.
10Your content and our intellectual property
10.1Sipra Content
All Sipra software, designs, logos, copy, photos, graphics, and other materials are owned by Sipra or our licensors and protected by U.S. and international IP laws. The sipra trademarks and leaf mark are Sipra's. Other product names and trademarks belong to their owners.
10.2Your License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial healthcare needs. You may not copy, sell, redistribute, scrape, reverse-engineer, or build a competing service.
10.3Your Content And Feedback
Sipra does not claim a blanket license over your content. Testimonials, photos, videos, or quotes are used only as described in a separate written consent you sign before that use:
- Testimonials/photos: used only with separate written consent naming channel and duration. You can revoke consent any time on a forward-looking basis.
- Feedback: feedback about the Service is non-confidential; we may use it to improve the Service without compensation. Feedback is not PHI.
10.4FTC Endorsement Guides (16 CFR Part 255)
Sipra complies with the FTC Endorsement Guides. Testimonials are from real, consenting patients. Material connections (compensation, gifts) are disclosed in plain language. Sponsored content uses #ad or #sponsored in the first line.
10.5Dmca Designated Agent (17 USC §512)
If you believe content on the Service infringes your copyright, send written notice to:
Copyright Agent, c/o Sipra LLC, 30 N Gould St, Ste R, Sheridan, WY 82801, [email protected] (registration with the U.S. Copyright Office to be completed prior to launch)
Include the six elements required by 17 USC §512(c)(3): physical or electronic signature; identification of the copyrighted work; identification of the infringing material with enough detail to locate; your contact information; a good-faith statement that the use is not authorized; and a statement under penalty of perjury that the notice is accurate and you are authorized to act for the owner. Repeat infringers' accounts will be terminated.
10.6Section 230 (47 USC §230)
Where the Service hosts user-submitted content, Sipra is an interactive computer service provider under Section 230. We are not the publisher or speaker of user-submitted content and may remove content at our discretion.
11Privacy and HIPAA
Your privacy is governed by:
- the https://sipra.com/privacy;
- the https://sipra.com/hipaa-notice of the affiliated medical practice, describing PHI use/disclosure by the practice and Sipra (as Business Associate);
- the https://sipra.com/health-data-privacy for WA, NV, and CT residents; and
- HIPAA (Pub. L. 104-191) and 45 CFR Parts 160 and 164.
The affiliated medical practice is a HIPAA Covered Entity. Sipra LLC supports it as Business Associate under a written BAA.
If those policies conflict on privacy, they control. Sub-processors: https://sipra.com/subprocessors.
11.1Reproductive Health Protections (45 CFR §164.509)
Sipra and the affiliated medical practice comply with the HIPAA reproductive health rule effective February 26, 2026. We do not disclose PHI about reproductive care for use in any investigation against, or to impose liability on, a person for seeking, obtaining, providing, or facilitating lawful reproductive health care, except as HIPAA permits or requires.
11.2Pixels And Trackers
Sipra does not fire third-party advertising pixels (Meta Pixel, TikTok Pixel, Google Analytics, etc.) on intake or quiz pages without prior opt-in. Cookie/tracker disclosures are in the Privacy Policy and cookie banner.
11.3Out-Of-Pocket Payment Restriction (45 CFR §164.522(A)(1)(Vi))
Because the Service is cash-pay only, you have paid in full out of pocket. Under HIPAA, you can ask the affiliated medical practice to restrict disclosure of treatment information to any health plan. Email [email protected] to request.
12Direct access to your records (21st Century Cures Act, 45 CFR Part 171)
You have the right to direct electronic access to your health information under the Information Blocking Rule. Through the patient portal you can view and download visit notes, medications, lab orders and results, and other clinical data. You acknowledge that some test results may appear before physician review.
13Disclaimers of warranties
THE SERVICE IS "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SIPRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS (RELATED PERSONS) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. EDUCATIONAL CONTENT IS NOT A SUBSTITUTE FOR CLINICAL JUDGMENT.
This Section does not limit non-waivable consumer-protection rights under your state's law.
14Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER SIPRA NOR ANY RELATED PERSON IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID SIPRA IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some states (including New Jersey) do not allow exclusion of certain damages or liability limits for gross negligence, intentional misconduct, or statutory violations; those limits do not apply where prohibited. This Section does not limit liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be limited by law.
14.1Contractual Statute Of Limitations
Any claim arising out of these Terms or the Service must be filed within 1 year of accrual, or it is permanently barred. This does not apply to (a) California residents (Section 21.3), (b) New Jersey residents (Section 21.5), or (c) residents of any state where this limit is unenforceable; those residents retain the statutory limitations period.
14.2California Civil Code §1542 Waiver
California residents who sign a release of claims to Sipra waive Cal. Civ. Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Residents of states with similar statutes waive those too.
15Indemnification
You agree to indemnify, defend, and hold harmless Sipra and Related Persons from any claim, loss, liability, judgment, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) inaccurate/incomplete information given to Sipra or the affiliated medical practice.
This does not apply to claims arising from: (i) Sipra's gross negligence, willful misconduct, fraud, or intentional violation of law; or (ii) clinical malpractice, professional negligence, or other professional liability of the affiliated medical practice or any prescribing physician acting in clinical capacity. Nothing here shifts clinical-malpractice liability from the affiliated medical practice to you.
We may, at our cost, take over the defense of any claim under this Section.
16Termination and suspension
You can stop using the Service any time by canceling. We can suspend or end your account if (a) we reasonably believe you violated these Terms; (b) law requires it; (c) we suspect fraud or unauthorized access; or (d) the affiliated medical practice determines continuing care is not in your best clinical interest.
Sections that by nature survive will, see Section 20.6.
17Acceptable use
You must not:
- obtain a prescription for someone other than yourself;
- give Sipra or the affiliated medical practice false health or identity information;
- resell, transfer, or divert medication received through the Service;
- use the Service where it is not offered;
- scrape, reverse-engineer, or interfere with operation or security;
- use the Service on a jailbroken/rooted device that undermines security;
- upload unlawful, defamatory, harassing, or rights-infringing content; or
- violate any law, including controlled-substance, anti-kickback, or sanctions laws.
Violations can lead to suspension, termination, refund denial, and referral to law enforcement.
17.1Reporting Abuse
If you see another user violating these Terms, impersonation, medication-sharing, or fraudulent intake, report it to [email protected]. We will investigate promptly and act when warranted.
17.2Account-Sharing Prohibition
Each account is for one person. You may not let another person sign in under your credentials, complete intake as you, or otherwise impersonate you. Doing so can lead to inappropriate prescribing and serious harm.
17.3Prescription Diversion Is A Federal Crime
Reselling, transferring, or distributing prescription medication issued in your name is a federal crime under 21 USC §§841 and 844 and may violate state law. Sipra cooperates with law-enforcement subpoenas on prescription diversion.
18Changes to these Terms
We may change these Terms with 31+ days' notice (email and posting); new terms apply at 11:00 AM ET on the stated effective date (Update Effective Time). To reject, cancel before that time; cancellation due to the update entitles you to a pro-rated refund of any unshipped portion.
Changes required by law or for security may take effect immediately; we will say so when posting.
19Dispute resolution and arbitration
19.1Scope
These rules cover all disputes between you and Sipra arising from or relating to the Service or these Terms (advertising, billing, privacy, termination), but not IP-infringement claims (brought in court).
19.2Pre-Arbitration Informal Resolution (Mandatory)
Before filing arbitration, send a written Pre-Arbitration Demand to [email protected] with your name, account email, dispute description, requested relief, and signature. We may request a 30-minute videoconference within 60 days. The 60-day period tolls any statute of limitations. You may not file arbitration before the 60-day period ends.
19.3Federal Arbitration Act
These Terms involve interstate commerce. The FAA (9 USC §1 et seq.) governs interpretation and enforcement of this Section. Either party can ask a court to compel arbitration if the other tries to avoid it.
19.4Opt-Out Right (30-Day Window)
You can opt out of arbitration. Email [email protected] within 30 days of first acceptance with subject "Arbitration Opt-Out" and your full name, account email, and residential address. Opting out does not affect other Terms. The 30 days run from your first individual acceptance, not any historical date.
19.5Arbitration Administrator And Rules
Arbitration is administered by National Arbitration and Mediation (NAM) under its Comprehensive Dispute Resolution Rules and, where applicable, Mass Arbitration Supplemental Rules. Fee schedule: NAM Comprehensive Dispute Resolution Rules and Procedures fee schedule (or NAM Consumer Arbitration Rules where the dispute is consumer-facing). Sipra pays NAM filing and administrative fees beyond what you would pay in court, except as the arbitrator allocates for frivolous filings.
19.6Individual Basis Only, Class Action Waiver
ARBITRATION IS INDIVIDUAL ONLY. YOU AND SIPRA AGREE NOT TO BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING, AND THE ARBITRATOR CANNOT CONSOLIDATE CLAIMS OR ORDER CLASS RELIEF. If a court holds the class action waiver unenforceable for a claim, that claim must be litigated in court, the rest of this Section stays in force.
19.7Mass Arbitration Protocol
If 25+ similar arbitration demands are filed against Sipra by the same or coordinated counsel within 60 days, they are batched in groups of up to 100. Each batch gets a single arbitrator hearing bellwether cases first; remaining cases tolled. Filing and administrative fees for batched cases are consolidated. The parties will work in good faith on an early-resolution framework before bellwether hearings.
19.8Arbitrator Powers
The arbitrator can grant the same individual relief a court could (money damages, declaratory and injunctive relief specific to the individual claim), but no class-wide or representative relief.
19.9Jury Trial Waiver
YOU AND SIPRA EACH WAIVE ANY RIGHT TO A JURY TRIAL.
19.10Severability Of This Section
If any part of this Section is held unenforceable, the rest applies to the maximum extent allowed by law. The class action waiver is not severable from the agreement to arbitrate; if found unenforceable, the entire Section 19 is unenforceable for that claim, and the claim proceeds in the courts in Section 20.1.
20General provisions
20.1Governing Law And Venue
These Terms are governed by the laws of Wyoming, without regard to conflict-of-laws rules. For claims that cannot be arbitrated, the parties consent to exclusive jurisdiction of the state and federal courts in Delaware.
20.2Entire Agreement And Order Of Precedence
These Terms, with the Privacy Policy, HIPAA Notice of Privacy Practices, Telehealth and Medication Consent, Refund Policy, Consumer Health Data Privacy Policy, ISI, and any product- or state-specific addenda referenced here, are the entire agreement between you and Sipra about the Service. If these Terms conflict with a referenced policy, these Terms control unless the policy expressly says it controls on its subject matter.
20.3Severability
If any part of these Terms is unenforceable, that part is modified to the minimum needed to make it enforceable; the rest stays in effect.
20.4No Assignment By You; Assignment By Sipra
You cannot assign without our written consent. We can assign to an affiliate or successor in a merger, acquisition, or asset sale.
20.5No Waiver
Failing to enforce a provision is not a waiver of the right to enforce it later.
20.6Survival
These sections survive termination: 4, 5, 6.10, 10, 11, 13, 14, 15, 16, 17, 19, 20, 21, and 22.
20.7Force Majeure
Sipra is not liable for failure or delay from events beyond our reasonable control, natural disasters, pandemics, public health emergencies, war, terrorism, government action, drug-supply disruption, FDA action, internet/utility outages, labor disputes, or third-party vendor failures. We use reasonable efforts to resume promptly.
20.8Notices
We send legal notices by email to the address on your account. Send legal notices to us at [email protected] or by mail to 30 N Gould St, Ste R, Sheridan, WY 82801.
20.9App-Store Terms
If you access the Service through an Apple App Store or Google Play app, the platform's standard EULA applies between you and the platform. Apple and Google are not parties to these Terms and have no obligation to support the Service.
20.10Headings; Interpretation
Headings are for convenience. "Including" means "including, without limitation." Singulars include plurals.

21.3California, Contractual Statute Of Limitations Carve-Out
California residents are not subject to the 1-year contractual statute of limitations in Section 14.1 and retain the full statutory limitations period under California law.
21.4Florida Weight-Loss Consumer Bill Of Rights (Fla. Stat. §501.0575)
If you are a Florida resident and your treatment includes a weight-loss program, you have these rights:
(a) Weight loss is influenced by many factors, genetic/metabolic differences, eating habits, exercise, motivation, adherence; (b) rapid weight loss can cause serious health risks; (c) consult a physician before starting any weight-loss program; (d) only permanent lifestyle changes, healthy diet and regular physical activity, promote long-term weight loss; (e) staff qualifications/credentials are available on request; (f) you can request an advance price list and itemized charges; and (g) you can cancel any time; the refund schedule is in the Refund Policy.

21.5New Jersey Carve-Outs
New Jersey residents: nothing limits Sipra's liability for negligent or intentional conduct beyond what New Jersey law allows; the 1-year limit in Section 14.1 does not apply.
